1. Agreement to Terms

By accessing or using Sell & Swap Stuff Fast ("the Platform", "we", "us", or "our"), you ("the User", "you", or "your") agree to be legally bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Sell & Swap Stuff Fast, a platform operating under the laws of England and Wales.

If you do not agree to all of these Terms, you must not access or use the Platform. Your continued use of the Platform following any changes to these Terms constitutes acceptance of those changes.

Age Requirement: You must be at least 18 years of age to use this Platform. By creating an account, you confirm that you are 18 years or older.

2. Governing Law and Jurisdiction

These Terms and Conditions, and any disputes arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation.

By using this Platform, you irrevocably submit to the exclusive jurisdiction of the courts of England and Wales and waive any objection to proceedings in such courts on the grounds of venue or convenience.

3. Use of Platform

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

• In any way that violates any applicable national or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the Platform, a Platform employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
• In any manner that could disable, overburden, damage, or impair the Platform
• To use any robot, spider, or other automatic device to access the Platform for any purpose

4. User Accounts

When you create an account with us, you guarantee that:

• You are at least 18 years of age
• The information you provide is accurate, complete, and current at all times
• You will maintain the security of your account by protecting your password
• You will not share your account credentials with any third party
• You will notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your device. You accept responsibility for all activities that occur under your account or password.

5. Membership Plans

The Platform offers the following membership tiers:

• Basic (Free): 1 active listing, basic features
• Pro (£4.99/month): 25 active listings, auto-pricing tools, priority support
• Business (£29.99/month): 250 active listings, advanced analytics, bulk operations

Payment Terms: All paid membership plans automatically renew monthly unless cancelled. Membership fees are charged in British Pounds Sterling (£ GBP) and are non-refundable. You may cancel your subscription at any time through your account settings, but you will not receive a refund for the current billing period. Cancellation takes effect at the end of the current billing cycle.

Price Changes: We reserve the right to change membership pricing with at least 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Listing Items

As a seller on the Platform, you represent and warrant that:

• You own or have the legal right to sell all items you list
• Your listings are accurate and not misleading
• Items listed are not prohibited, illegal, counterfeit, or stolen
• You will honor all agreed transactions and deals struck through the Platform
• You comply with all applicable laws regarding the sale of your items

Prohibited Items: You must not list items that are illegal to sell under UK law, including but not limited to: weapons, drugs, stolen goods, counterfeit items, hazardous materials, or adult content.

By listing an item, you grant the Platform a non-exclusive, worldwide, royalty-free license to display, reproduce, and promote your listing for the purpose of operating the Platform.

Platform Rights: We reserve the right to remove any listing that violates these Terms, infringes intellectual property rights, or is otherwise inappropriate, without prior notice.

7. Transactions and Liabilities

Platform Role: The Platform acts as a marketplace connecting buyers and sellers. All transactions are directly between users. The Platform is not a party to any transaction and has no control over:

• The quality, safety, or legality of items listed
• The accuracy of listings or descriptions
• The ability of sellers to complete sales
• The ability of buyers to pay for items
• The conduct of users during or after transactions

No Commission: We do not take a commission or fee from individual transactions between users. Payment arrangements are made directly between buyer and seller.

User Responsibility: You are solely responsible for your interactions with other users. We recommend meeting in public places and taking appropriate safety precautions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW UNDER THE LAWS OF ENGLAND AND WALES:

THE PLATFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Platform
• Any conduct or content of any third party on the Platform
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Failed transactions, disputes between users, or fraudulent activity

Exclusions: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

Our total liability to you for all claims arising from or related to the Platform shall not exceed the amount paid by you to us in membership fees during the 12 months preceding the claim, or £100, whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Platform, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms or any applicable law
• Your violation of any third-party rights, including intellectual property rights
• Your use of the Platform or interactions with other users
• The content you post, list, or transmit through the Platform
• Any transactions or disputes with other users

10. Intellectual Property

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Sell & Swap Stuff Fast and are protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without our express written permission.

11. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Platform will immediately cease
• All provisions of these Terms which should survive termination shall continue to apply
• We may delete your account data in accordance with our Privacy Policy
• No refunds will be issued for any prepaid membership fees

12. Dispute Resolution

Informal Resolution: Before filing a formal legal claim, you agree to first contact us at cofoedu@gmail.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes amicably.

Formal Disputes: If informal resolution fails, any dispute shall be resolved exclusively through the courts of England and Wales, as set out in Section 2 of these Terms.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be communicated through:

• Email notification to registered users (at least 30 days before effective date)
• Prominent notice on the Platform
• Updated "Last Updated" date at the top of these Terms

Your continued use of the Platform after such modifications constitutes your acceptance of the modified Terms. If you do not agree to the new Terms, you must stop using the Platform.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable under the laws of England and Wales, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Sell & Swap Stuff Fast regarding the use of the Platform, superseding any prior agreements.
